What Is the Minimum Number of Shareholders Required to Register a Company?

Since 7 February 2023, the law has reduced the minimum number of promoters and shareholders of a private limited company from 3 to at least 2 persons, under the amended Civil and Commercial Code.

What Documents or Information Do I Need to Prepare?

In general, you need to prepare two categories of information: information about the company (name, location, registered capital, objectives, and specific articles of association, if any), and information together with identification documents for each promoter, shareholder, and director (name, address, ID card or passport number, and number of shares held). How Many Days Does Company Registration Take?

The timeframe mainly depends on how complete the documents and information are. Once the application and documents are correct and complete, the registrar generally takes about 1–2 business days. This may change depending on the registrar's review and any requests for corrections.

Can I Register a Company Online?

Currently, the Department of Business Development (DBD) allows many steps of the application and documents to be filed online through the DBD Biz Regist system, with signatories confirming their identity and signing electronically through supported channels, such as the ThaID application. The available methods may vary depending on the nationality and status of the signatory.

What Are the Costs of Registering a Company?

There are two parts. The first is the official government fees paid to the Department of Business Development (DBD) — the fee for registering the memorandum of association and incorporating the company totals approximately 5,500 THB, plus possible additional fees for certificates or copies of documents as requested (please check the DBD's current rates before filing). The second part is the office's service fee, which for company incorporation registration starts at 8,000 THB (excluding the official government fees above), depending on the complexity of the business structure.
